Brett N. Rodgers, Chapter 13 Bankruptcy Trustee Access to Trustwin System Registration Form and Agreement This License Agreement, made between Brett N. Rodgers Chapter 13 Bankruptcy Trustee in Michigan hereinafter referred to as LICENSOR, and Licensing Party hereinafter referred to as LICENSEE. Whereas, LICENSOR desires to grant non-exclusive licenses on the Trustwin System; In consideration of the terms, conditions and provisions of this Agreement and other valuable consideration, the receipt and sufficiency of which are acknowledged, the parties here, intending to be legally bound, acknowledge and agree as follows: PART 1. DEFINITIONS The Following definitions shall apply to terms used in this agreement. 1.1 “Breach” means any violation of the terms of this agreement. 1.2 “Licensee” is the party who, by virtue of this agreement, is granted the non-exclusive, non-transferable right and license to use the Trustwin System. 1.3 “Licensor” is Brett N. Rodgers, Chapter 13 Bankruptcy Trustee 1.4 “Party-in-Interest” is an individual or entity with actual current or future financial, legal, and/or equitable interest in the applicable Chapter 13 case. PART 2. SUBSTANTIVE PROVISIONS 2.1 Licensee will abide by all the below rules and administrative procedures governing the use of their login and password of the Licensor Trustwin System and will abide by all future rules and procedures promulgated by the Licensor in the future. 2.2 Each license granted under this Software License Agreement conveys to LICENSEE only a personal, non-exclusive, non-transferable right and license to use the Trustwin System on the computer system designated herein. This Software License Agreement may not be assigned by Licensee and the System to which it applies and documents and materials and information relating thereto may not be disclosed, sublicensed, published, released or transferred to another party by Licensee without the prior consent of Licensor 2.3 Licensee agrees that the use of their login and password is to be restricted to only those whose signatures appear on this registration form. 2.4 Licensee agrees that it is their responsibility to protect and secure the confidentiality of Licensee’s login and password. 2.5 If Licensee believes that their login and/or password have been used by an unauthorized party, it is Licensee’s responsibility to notify the Trustee’s office immediately. 2.6 Licensee agrees they are only to view debtor(s) records in which Licensee is a Party-in-Interest. 2.7 Licensee will use the Licensor’s Trustwin System in which the Licensee is a Party-in-Interest for the express purpose of bankruptcy proceedings. 2.8 Licensee, therefore, agrees to use the Trustwin System only as provided in this Software License Agreement and only during the term of the license granted by this Software License Agreement. Licensee further agrees not to provide or otherwise make available any, material, documents, or any other information it obtained on the Trustwin System to any other party without prior written consent from Licensor. 2.9 Furthermore, Licensee agrees to protect all information obtained on the Trustwin System, in any form, from unauthorized disclosure by its agents, employees or customers. 2.10 Licensee’s Breach of this agreement shall forfeit Licensee’s ability to log onto and access Licensor’s Trustwin System and may make Licensee liable for damages. 2.11 Furthermore, if breach of the agreed upon terms by Licensee subjects Licensor to liability Licensee is required to indemnify Licensor for any judgment and expenses related to the litigation 2.12 In no event shall Licensor be liable to Licensee and/or his/her client(s) if the information received from Trustwin System was incorrect and lead to financial loss of the Licensee and/or his/her client(s). PART 3. MISCELLANEOUS 3.1 All modifications to this agreement must be in writing and signed by both parties. 3.2 This agreement shall be enforced under the State laws of Michigan and applicable Federal Laws. 3.3 The terms and conditions above shall constitute the complete and final agreement between the parties. This agreement is effective upon Licensee agreeing to the terms and checking the box below.
